Hyflux’s responses to Mr Simon Tay’s Facebook posts

It was brought to Hyflux Ltd’s (the “Company”) attention that Mr. Simon Tay, who is an independent director of the Company, published a post on his Facebook page on 2 February 2020 at 12.14pm (the “Facebook Post”) where he commented on WongPartnership’s decision to inform the Court that it wished to discharge itself. Mr Tay also said that he will recuse himself and not take part in any discussion or decision in the Company relating to WongPartnership.
On 4 February 2020, the Company’s lawyers, Clifford Chance Pte Ltd and Cavenagh Law LLP, sent a letter to Mr Tay in response to his Facebook Post (the “Response”). The Company’s lawyers requested Mr Tay to publish the Response by way of a comment to Mr Tay’s Facebook page.
Mr Tay has not done so.

Mr Tay has not in any of his responses denied that he did not object to the Company’s announcement on 29 January 2020 which said, among other things, that the Company has lost confidence and trust in WongPartnership, or to the resolution that was passed by the Company’s board on 30 January 2020 which contained an explanation of why the Company lost trust and confidence in WongPartnership.

It was brought to Hyflux Ltd’s (the “Company”) attention that Mr. Simon Tay, who was an independent director of the Company until 7 February 2020, has published a post on his Facebook page on 10 February 2020 at 6.00 pm (the “2nd Facebook Post”) where he set out his letter of resignation to the Company.
As Mr Tay’s letter of resignation makes certain allegations which are erroneous in the Company’s view, the Company is now publishing the letter it has sent Mr Tay’s lawyers in response to the statements made in his letter of resignation. We refer to the earlier post by the Company publishing the letter it has sent to Mr Tay’s lawyers in response to the statements made in his letter of resignation on 11 February 2020.
